Terms of Service
Last updated: 5 October 2026
These Terms govern ZyndPay personal and business accounts. Sections 1 to 9 apply to everyone, sections 10 to 13 to personal accounts and sections 14 to 16 to business accounts. If you have a business account, your signed Merchant Service Agreement prevails over these Terms.
1. About these Terms
ZyndPay is a service operated by ZYND SARL, a company registered in Bamako, Mali ("ZyndPay", "we", "us").
These Terms form a contract between you and ZYND SARL when you create an account or use our websites, the ZyndPay Wallet app, the business dashboard, hosted checkout and payment links, our APIs, our Telegram bots or any related service (the "Services").
Your agreement with us also includes our Privacy Policy, our AML/CFT Policy and our Cookie Policy. For a business account it also includes the Merchant Service Agreement and its annexes (the "MSA"), including the Data Processing Agreement. The details you confirm for a specific operation, such as a quote, form part of the agreement for that operation.
If you use the Services for a business, you confirm that you are authorised to bind it. If these Terms and a signed MSA conflict, the MSA prevails for that business.
2. Our status and partners
ZyndPay is not a bank. Balances held with us are not bank deposits, do not earn interest unless an offer expressly says so, and are not covered by a deposit guarantee scheme.
The registration of ZYND SARL is not a banking, payment institution, electronic money or crypto-asset licence. We only offer a service in a country, or through a payment method, where the required authorisation or an arrangement with an authorised partner is in place.
Some payment methods rely on third parties such as mobile money operators, card processors, payment aggregators and blockchain networks. Their own terms and limits may also apply, and their availability is outside our full control.
The services, currencies, payment methods and limits available to you depend on your country, your verification level and your account. The app, the dashboard or the checkout page shows what is available before you confirm an operation.
3. Eligibility and your account
To use the Services you must:
- be at least 18 years old and able to enter into a binding contract;
- not be subject to sanctions, and not act for a sanctioned person;
- not be resident in, or use the Services from, a country where we do not offer them or where their use is prohibited;
- give accurate and complete information, and keep it up to date.
A person may hold one personal account. A business account is opened and operated by people authorised by the business. We may refuse to open an account, in particular where we cannot complete the required checks.
4. Keeping your account secure
Keep your password, PIN, one-time codes, recovery codes, API keys and devices secure, and do not share them with anyone. ZyndPay staff will never ask for your password, PIN, one-time code, private key or recovery code.
We send verification codes by WhatsApp, and by another channel if WhatsApp is unavailable. Signing in from a new device may require additional verification, and we may ask for it again before a sensitive operation.
Tell us immediately at support@zyndpay.io, or through the app or dashboard, if you think someone else has accessed your account or your credentials. Operations confirmed with your credentials are treated as authorised by you, subject to section 11.
5. Verification and limits
We verify the identity of individuals (KYC) and businesses, including their beneficial owners and representatives (KYB), as described in our AML/CFT Policy. Your verification level determines limits on amounts, balances and available operations. Current limits are shown in your account.
We may ask for additional information or documents at any time, including about the source of your funds, and may restrict your account until we receive them. Verification decisions are made by our team.
6. Fees, exchange rates and quotes
The fees, exchange rate, network or operator costs and the amount to be received are shown before you confirm an operation. Taxes or levies required by law in your country may apply and are shown separately where applicable.
When you accept a quote, its price is fixed for the stated validity period. If the quote expires or the conditions change, a new quote is required.
We may change our fees for future operations with prior notice. A change never applies to an operation you have already confirmed. Business accounts follow the pricing in their MSA and commercial schedule.
7. Payments, transfers and withdrawals
Before confirming, check the recipient, amount, currency and, for digital assets, the network and address. Once an operation is transmitted to a payment provider or a blockchain, it may not be possible to cancel it. Blockchain transfers are irreversible, and assets sent to a wrong address or network may be permanently lost.
Our ledger is the record of what you are owed. A pending status, a screenshot, a browser redirect or a message is not proof that a payment has been completed. We correct demonstrated errors in our records.
We may delay, refuse, hold or reverse an operation where the law requires it, to protect you or others against fraud, for security reasons, or while we carry out checks required by our AML/CFT Policy. Where the law allows, we tell you and explain what is needed to resolve the situation.
8. Prohibited uses
You must not use the Services:
- for money laundering, terrorist financing, fraud, scams, or to evade sanctions or tax;
- for illegal goods or services, including drugs, weapons, counterfeit or stolen goods, child sexual abuse material, or human trafficking;
- for unlicensed gambling, unlicensed financial, investment or money transfer services, or pyramid and Ponzi schemes;
- for mixers or other services designed to hide the origin of digital assets;
- to receive or send funds on behalf of another person without our agreement, or to use another person's account or payment method;
- to attack, overload, probe, copy or circumvent the Services or their security controls.
We may refuse or end a relationship that we consider presents an unacceptable legal or financial-crime risk.
9. Suspension and closure
You may close your account at any time once pending operations are complete. Withdraw your balance first; if you cannot, we pay it to a verified account or wallet in your name.
We may restrict or suspend your account, or hold funds, where the law requires it, where we reasonably suspect fraud, a breach of these Terms or a financial-crime risk, or to protect your account. Where the law allows, we tell you why and what you can do.
We may close your account with 30 days’ notice, or immediately in the event of a serious breach, a legal requirement or a significant financial-crime risk. After closure, we return the remaining balance, less amounts lawfully owed or held, to a verified destination in your name. We keep records as described in our Privacy Policy.
10. Personal accounts: your ZyndPay Wallet
The ZyndPay Wallet is a custodial wallet: we hold the funds and digital assets recorded in your wallet on your behalf, together with those of other customers, and our ledger records your individual entitlement. You do not receive private keys for the assets we hold.
Depending on availability, the wallet lets you send and receive money, request payments, convert between supported currencies and stablecoins, withdraw to mobile money or to a supported external wallet, save in vaults, take part in tontines and use the P2P marketplace.
Stablecoins such as USDT and USDC are issued by third parties. They are not legal tender, their issuers can freeze or change them, and their value may move away from the currency they track. Their value in your local currency can change. We do not give investment, tax or legal advice.
12. Personal accounts: vaults and tontines
A vault sets aside part of your balance for a goal. The money remains yours and is held on the same basis as your wallet. A vault earns no interest or return unless an offer expressly says so. Any withdrawal conditions are shown before you create the vault.
A tontine lets a group of people you choose save together. The contribution amount, schedule and payout order are shown before you join and apply to every member. We operate the tool and record contributions and payouts, but we do not lend money and do not guarantee that other members will contribute.
13. Personal accounts: P2P marketplace
The P2P marketplace lets users buy and sell stablecoins with each other for local currency. Trades are between users: ZyndPay is not the buyer or the seller and does not set prices. We operate the marketplace, the order process and escrow.
- When an order opens, the seller's digital assets are held in escrow on our ledger.
- The buyer pays the seller directly using the agreed payment method, from an account in their own name, within the displayed time limit.
- The seller releases the assets only after confirming that the payment has arrived in their own account. A screenshot or message is not proof of payment.
- Use the order chat for communications about the trade. Do not move the conversation or the payment elsewhere.
Either party may open a dispute. We review the evidence provided and may release the assets to the buyer or return them to the seller. This decision settles the release of the escrowed assets. It does not affect any other rights you have against the other party under the law.
Fees, such as a fee charged to the user who takes an existing offer, are included in the amount shown before you confirm. We may restrict access to the marketplace in the event of abuse, fraud, repeated cancellations or late payments.
14. Business accounts: the MSA
You can create a business account and use the test environment straight away. Processing real money requires an approved business verification (KYB) and a signed MSA. The MSA governs live services and prevails over these Terms. These Terms apply to your use of the website and dashboard before the MSA is signed, and to any matter the MSA does not cover.
Business tools include payment links, hosted checkout, the API, Telegram subscriptions, balances, conversion and payouts, depending on what is enabled for your account. Acting as a reseller or aggregator for other businesses requires a separate agreement.
Test-mode data and transactions have no monetary value and must never be presented as real payments.
15. Business accounts: your customers
You are the seller of your goods and services. ZyndPay is not a party to your sale. Before payment, tell your customers who you are, the total price and currency, delivery arrangements, and your cancellation and refund terms. You handle their questions, refunds and complaints.
Refunds, chargebacks, reversals, reserves and negative balances are dealt with as set out in the MSA.
When we process your customers' personal data on your behalf, the Data Processing Agreement applies.
16. Business accounts: API keys, webhooks and Telegram
Keep live API keys and webhook secrets on your servers only, never in a website, app or public code repository. Rotate them immediately if you suspect they have been exposed and tell us. Activity using your keys is attributed to your business.
Verify the signature of each webhook, process events idempotently and check the final payment status from our API before delivering. A redirect or callback alone is not proof of payment.
For Telegram subscriptions, the ZyndPay bot must remain an administrator of your channel or group to grant and remove access.
17. Intellectual property
ZyndPay and its licensors keep all rights in the Services, software, documentation and brands. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You keep the rights in your own content and data, and grant us the rights we need to provide the Services with them. If you send us feedback, we may use it freely.
18. Liability
We provide the Services with reasonable care and skill. We do not guarantee that they will be uninterrupted or error-free, or that any third-party payment method, provider or blockchain network will be available.
We are not liable for indirect losses such as loss of profit, business or opportunity, or for losses caused by your breach of these Terms or of your security obligations, or by events beyond our reasonable control. We always remain obliged to make available the balance recorded for you in our ledger, less amounts lawfully owed or held.
Nothing in these Terms limits liability for fraud, gross negligence, death or personal injury, or any liability that cannot be limited by law. If you use a personal account as a consumer, you keep the protections that the law of your country of residence gives you and that cannot be waived. For business accounts, the liability provisions of the MSA apply.
19. Complaints
Contact support@zyndpay.io, or use the app or dashboard, giving the reference of the operation concerned, what happened and what you are asking for. We acknowledge your complaint and aim to respond in full within 30 days. If we need longer, we tell you why.
If you are not satisfied with our response, you may write to legal@zyndpay.io. You may also contact the authorities competent for consumer protection or financial services in your country.
20. Changes to these Terms
We may update these Terms to reflect changes to the Services, the law or our practices. We notify you of material changes by email or in the app or dashboard at least 30 days before they take effect, unless a shorter period is required by law or for urgent security reasons. You may close your account before the change takes effect. Changes never apply to an operation you have already confirmed. For business accounts, the MSA’s change procedure applies.
21. Governing law and disputes
Personal accounts. These Terms are governed by the law of Mali. We encourage you to use the complaints process in section 19 first. Any dispute falls within the jurisdiction of the competent courts of Bamako. This does not deprive you of the mandatory protections of the law of your country of residence or of any right to bring proceedings there that the law gives you.
Business accounts. The governing law and dispute resolution clause of your MSA applies. Before an MSA is signed, the governing law and dispute resolution clause of our standard MSA applies.
22. General provisions
If any provision is found invalid, the rest of these Terms remains in force. Failing to enforce a right is not a waiver of that right. You may not transfer your account or these Terms without our consent. We may transfer them to a successor, with notice to you and without reducing your rights.
These Terms are published in French and English. For personal accounts, the French version prevails if they differ. For business accounts, the language of your signed MSA prevails or, before signature, the English version.
We send notices to the email address, phone number or in-app inbox linked to your account. Legal notices to us should be sent to legal@zyndpay.io.
